Nielsen will acquire DoubleVerify to pair measurement with ad verification

The news: Audience measurement leader Nielsen will acquire media effectiveness company DoubleVerify in an all-cash transaction valued around $2.15 billion, Nielsen announced on Thursday. The combined company aims to give clients “clear, verified, and independent data for the end-to-end advertising segment,” per the announcement.

  • The companies believe the combination will create a leading independent media intelligence platform that pairs Nielsen’s audience measurement and analytics with DoubleVerify’s ad verification and media quality tools.
  • Nielsen says the deal extends it deeper into digital advertising and broader omnichannel measurement, covering CTV, TV, social, mobile, and AI platforms.
  • DoubleVerify will continue operating under the same name and brand but will transition into a privately held company after closing.
  • The combined company is expected to generate more than $4 billion in revenues on a pro-forma basis. DoubleVerify shareholders will receive $13.60 in cash per share.
  • The deal has been approved by both companies’ boards, with an expected closing timeline of Q1 2027.

The acquisition will help Nielsen better defend itself against ascendant competitors like iSpot and Comscore, which critics have said are more fluent in digital-first measurement than Nielsen.

Why it matters: If successful, the acquisition would bring together measurement and verification in a way that could make CTV and omnichannel spend easier to trust and optimize.

  • As the currency provider with the widest adoption among major networks, Nielsen brings broad access to premium inventory and a stronger foothold with major advertisers and agencies.
  • DoubleVerify brings the verification layer that Nielsen lacks on its own. Its AI content classification features offer a Verified Streaming TV product to place ads in premium environments and a Do Not Air feature to ensure ads don’t appear near unsuitable content.
  • A partnership with IMDb for granular contextual insights also means DoubleVerify can make Nielsen’s measurement stack more credible in streaming, improving confidence in CTV spending.

Implications for marketers: If the deal closes, advertisers could get a more streamlined way to measure, verify, and optimize campaigns across channels, particularly CTV and TV. The result could be more effective, accountable, and efficient investments in an increasingly fragmented video landscape.

DoubleVerify’s AI-driven content classification and fraud prevention tools, such as its prebid filtering feature, could also minimize fraudulent ad requests across digital channels beyond CTV—ensuring marketers can protect brand safety and reduce invalid traffic.
